BYLAWS OF THE
NORTH FAIR OAKS COUNCIL
ARTICLE I Name
Section 1: This municipal advisory council, established for the unincorporated North Fair Oaks community, shall be known as the "North Fair Oaks Council," hereinafter referred to as the "Council." The unincorporated North Fair Oaks Community, composed of census tracts 6105 and 6106, is generally bounded by Bay Road, Marsh Road, 17th Avenue, Oak Drive, Encina Avenue, Loyola Avenue, El Camino Real, Northumberland Avenue, Charter Street, Middlefield Road, Douglas Avenue, Spring Street, and Willow Street. Precise boundaries are set forth on the map attached to the San Mateo County Board of Supervisors resolution establishing the North Fair Oaks Council, entitled "Jurisdictional Boundaries, North Fair Oaks Council, December 1990."
ARTICLE II Purpose and Scope
Section 1: The Council will represent the community and advise the San Mateo County Board of Supervisors on such matters which relate to the North Fair Oaks community, including, but not limited to, advice on matters of public health, safety, welfare, public works, policy, planning, community development, program development, and services pertaining to North Fair Oaks.
Section 2: The Council shall study or shall cause the study of the options available to the North Fair Oaks community relating to the government of said community, including, but not limited to, incorporation, annexation and remaining an unincorporated area of San Mateo County.
Section 3: The Council shall actively encourage and coordinate citizens' input regarding matters of public health, safety, welfare, public works, policy, planning, community development, program development, and services pertaining to North Fair Oaks.
ARTICLE III Appointments
Section 1: The Council shall consist of eleven (11) members.
Section 2: Members of the Council will be appointed by the Board of Supervisors, with input from the Council, to a term not to exceed three years. Appointments shall be made in such a manner that six (6) Council members shall be Residents, three (3) shall be Business Owners, and two (2) shall be Civic Members. Residents, Business Owners and Civic Members shall be defined as follows:
Resident: Registered voter maintaining primary residence in North Fair Oaks.
Business Owner: Any person who owns or operates a business in North Fair Oaks, including residential and commercial property owners.
Civic Members: Any person who lives or works in North Fair Oaks with an interest in the economic and social well-being of the North Fair Oaks community.
Section 3: The Council will be sensitive to the needs of all demographic groups and geographic areas in the North Fair Oaks community.
Section 4: Members of the Council shall be reappointed for no more than two full consecutive terms.
ARTICLE IV Members
Section 1: If for any reason a member of this Council is unable to remain as an active Council member, it shall be the duty of the remaining Council members to request that the San Mateo County Board of Supervisors appoint a replacement as described in Article 3.
Section 2: Any Council member who, without notification to the Chair of Vice-Chair, misses two Council meetings within a calendar year, shall be considered for removal as a Council member.
Section 3: Any Council member who ceases to be a Resident, Business Owner or Civic Member as defined in Article 3, Section 1 shall be considered unable to remain as an active Council member.
ARTICLE V Election of Officers
Section 1: The annual election of officers is to take place at the second regular meeting of the new year. If a quorum of members is not present, it shall take place on the first meeting thereafter that a quorum is present.
Section 2: The offices of the Council will be Chairperson and Vice Chairperson.
Section 3: The election of Officers shall be by simple majority vote. In the event that no nominee obtains a majority, all nominees but the two receiving the largest number of affirmative votes shall be removed from consideration and the vote shall be repeated.
Section 4: No Officer shall hold more than one office concurrently.
Section 5: A vacancy in either office shall be filled by election as described in Sections 1 through 3 in this article, or through special election, upon 15 days notice to Council members, when an office is vacated prior to term end.
ARTICLE VI Officers
Section 1: When deemed necessary by a majority of the Council, the Chairperson will be responsible to appoint, for only during the Chairperson's term, a special officer for a post in the Council, e.g. Recording Secretary, Publicity Chairperson, Parliamentarian.
Section 2: The Council Officers shall perform the duties required of them by these by-laws and such other duties as the Council may direct by a majority vote in a regular meeting.
Section 3: The recorder (as provided by the County of San Mateo in accordance with the Resolution Establishing the North Fair Oaks Council, item 9) shall file all reports in a filing book and the same shall be preserved as a part of the records of this Council.
Section 4: At the end of each year, the Council shall meet and audit the progress of the Council, and determine the state of affairs in the North Fair Oaks community. Then, at the next regular meeting, make a report of the findings.
ARTICLE VII Meetings
Section 1: Regular meetings of the Council shall be held on the third (3rd) Thursday of each month. All meetings shall begin at 7:00 PM and terminate at 9:00 PM. The regular meeting place of the Council shall be the Human Resources Services Center, located at 2500 Middlefield Road, Redwood City. However, said meetings may be held at such other places and times as may be determined by a majority vote of the Council.
Section 2: All meetings shall be open to the public.
Section 3: All meetings shall be presided over by the Chairperson.
Section 4: In the absence or inability of the Chairperson, the Vice Chairperson shall preside and execute all of the duties of the Chairperson.
Section 5: If any meeting shall fall on a legal holiday, said meeting shall be held on the following Thursday, unless the Council, by a majority vote at a previous meeting, decides otherwise.
Section 6: A quorum shall consist of a simple majority of Council members.
ARTICLE VIII Agenda
Section 1: The agenda order is subject to revision at the discretion of the Chairperson. The following form is recommended to be the usual agenda order at all regular meetings of this Council:
· Call to order
· Roll call of Officers and Members
· Council approval of the minutes from the previous meeting
· Reading of communications, and, when appropriate, "bills"
· Special speakers or programs (at the discretion of the Chairperson)
· Unfinished business
· New business (including input from the community at large)
· Reports of Committees
· Motion and second for adjournment
· Adjournment
Section 2: Unless otherwise provided in these by-laws or special unattached procedures, the rules of procedures at Council meetings shall be guided by Robert's Rules of Order.
ARTICLE IX Parliamentary Authority
The rules contained in the Modern Edition of "Robert's Rules of Order" shall govern the Council in all cases where they are not inconsistent with these bylaws and any special rules of order the Council may adopt.
ARTICLE X Committees
Section 1: The following shall be the standing committees, as needed, for the North Fair Oaks Council:
· Environmental Works
· Public Safety
· Community, Education and Welfare
Other committees may be formed when deemed necessary by a majority of the Council.
Section 2: Each Council member shall participate in- a minimum of one committee.
Section 3: Non-Council committee members shall be approved by Committee Chair
Section 4: Any person eligible for Council membership shall be eligible to serve on one or more committees. Committee members may include Council members; non-Council members who meet the eligibility requirements specified in Article III, Section 2; and other Ex-Officio members deemed appropriate by the Committee Chair.
Section 5: Committees shall consist of no more than nine (9) persons including Committtee,"1 members and Ex-Officio members. No more than seven (7) of the committee members shall be Council members.
Section 6: Any committee member who, without the approval of the committee, misses two consecutive regular committee meetings, may be considered for removal as an active Council member.
ARTICLE XI Amendment of these By-laws
Section 1: The by-laws of this Council may be amended by the affirmative vote of a quorum, provided that a notice of the substance of any amendments shall have been delivered to each Council member no less than fifteen (15) days prior to the date of the meeting.
